Terms of Service

1. Agreement

These Terms govern your use of Quietbooks — the agent-native bookkeeping service operated by Shenzhen Bluecoast Zhixing Technology Co., Ltd. (深圳市蓝岸知行科技有限公司) ("Quietbooks", "we", "us"). By signing in or using the service, including through an AI agent you authorize, you agree to these Terms and to our Privacy Policy.

2. The service

Quietbooks is a ledger your AI agent writes to: agents you authorize submit transactions through our MCP interface; entries are staged for your review and recorded when committed; you can view reports and export your data, including tax-friendly category exports. You must be of legal age to form a contract to use the service.

3. Accounts and authorized agents

• You sign in with Google and are responsible for the security of that account.
• Agents and MCP clients act on your ledger only after you authorize them. Anything an authorized agent submits is treated as submitted by you — review staged entries before committing, and revoke access for any client you no longer trust.

4. Your data

Your ledger data belongs to you. You grant us the limited licence needed to host and process it solely to provide the service. You are responsible for the accuracy and lawfulness of the data you (or your agents) submit. You can export or delete your data at any time.

5. Acceptable use

You agree not to:

• use the service for unlawful purposes, including money laundering or fraud;
• attempt to access other users' data or probe, overload, or disrupt the service;
• resell or white-label the service without our written consent;
• misrepresent your identity when authorizing clients.

6. Not financial, tax, or accounting advice

Quietbooks organizes the information you provide. Reports and "tax-friendly" exports are category alignments only — they are not tax filings, tax calculations, or financial, legal, or accounting advice. Consult a qualified professional for advice about your situation. You remain solely responsible for your financial and tax decisions and filings.

7. Fees

The service is currently offered free of charge. We may introduce paid plans in the future; if we do, we will announce pricing in advance, and continued use of paid features after notice constitutes acceptance.

8. Intellectual property

The service, including its software and branding, is owned by us or our licensors. If you send us feedback, you grant us a perpetual, royalty-free licence to use it to improve the service.

9. Third-party services

The service depends on third parties — your AI agent and its provider, Google (sign-in), and our infrastructure providers (Cloudflare, Neon). We are not responsible for third-party services, including what your agent does before data reaches us (such as how it parses your statements).

10. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted or error-free. Keep exports of data you cannot afford to lose.

11. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, or data. Our total liability for any claim relating to the service is limited to the greater of the amounts you paid us in the twelve months before the claim and USD 100. Nothing in these Terms excludes liability that cannot be excluded by law.

12. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate access that violates these Terms or creates risk for the service or other users; where practical we will notify you and provide an opportunity to export your data.

13. Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, and disputes shall be submitted to the courts of Hong Kong, without prejudice to mandatory consumer protections of your place of residence.

14. Changes

We may update these Terms; changes will be posted on this page with an updated date. Material changes will be announced via the service or email. Continued use after changes take effect constitutes acceptance.
